1. Acceptance of Terms
These Terms of Use (the “Terms”) govern your access to and use of the website located at www.aae-africa.org and au-aae.org (the “Website”), and all content, information and services made available through it.
By accessing, browsing or otherwise using the Website, you acknowledge that you have read, understood and agree to be bound by these Terms, together with the Privacy Policy and Cookie Policy published on the Website. If you do not agree with any part of these Terms, please discontinue your use of the Website.
The African Academy of Engineering (“AAE” or the “Academy”) reserves the right to revise these Terms at any time. Revised Terms take effect on the date of publication. Your continued use of the Website constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
2. Nature of the Website
The Website is the official online platform of the African Academy of Engineering. It provides information about the Academy, its divisions and research institutes, its Fellows, events, publications and policy positions relating to engineering education and practice in Africa.
The Website does not constitute:
- engineering consulting, legal advice, investment advice or any other professional service;
- an endorsement or recommendation of any specific product, technology, company or institution;
- a guarantee of fellowship, membership or participation in any Academy programme.
For professional advice on a specific engineering, policy or cooperation matter, please contact the relevant Academy department using the details published on the Website.
3. Changes to the Website; Restriction of Access
AAE reserves the right to modify, suspend, interrupt or discontinue all or any part of the Website at any time, without prior notice, and shall not be liable for any resulting loss or damage.
AAE further reserves the right, in its sole discretion and without prior notice, to restrict or terminate access to the Website by any user who breaches these Terms. Upon termination, your account, submitted materials and access rights may be deactivated or deleted. AAE accepts no liability for such deletion or deactivation, except where retention is required by law.
4. Acceptable Use
You agree that you will not, in connection with your use of the Website:
- violate any applicable law or regulation;
- collect or distribute personal data of others, or access non-public areas of the Website without authorisation;
- upload, transmit or link to any material containing malicious code, viruses or any software intended to damage or interfere with the Website or third-party systems;
- impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
- interfere with or disrupt the operation of the Website, its servers or connected networks;
- reproduce, republish or distribute Website content for commercial purposes without prior written authorisation;
- use the Website for any unlawful, fraudulent or infringing purpose.
5. Intellectual Property
All content on the Website, including but not limited to text, images, logos, page layouts, interface design, compiled materials and names and marks associated with the Academy, is the property of AAE or its licensors and is protected by applicable intellectual property laws.
You may view, download and print content from the Website for your personal, non-commercial, academic reference only, provided that:
- you identify the source as “African Academy of Engineering (AAE)”;
- you keep the content intact and do not modify, adapt or take it out of context;
- you retain all copyright and proprietary notices;
- you do not redistribute the content to any third party.
Any other use of Website content, including but not limited to republication, resale, rental, mirroring on another website, incorporation into a database, or use in training materials or publications, requires the prior written consent of AAE.
Views expressed by individual Fellows, researchers or partners on the Website are their own and do not necessarily represent the position of AAE.
6. User-Submitted Content
Where the Website permits comments, enquiries, event registration or the upload of materials, you are solely responsible for the content you submit, including its accuracy, lawfulness and non-infringement.
You agree not to submit content that:
- is unlawful, defamatory, obscene, harassing or discriminatory;
- infringes the intellectual property, privacy or other rights of any third party;
- contains commercial advertising, unsolicited promotions or spam;
- impersonates another person or provides false information.
Please note:
- Public comment areas are not a confidential channel. Do not submit trade secrets, personal data or other sensitive information in public comment fields.
- Non-public information submitted through secure forms (such as fellowship nominations or cooperation enquiries) is handled in accordance with the Privacy Policy.
- By submitting content through the Website, you grant AAE a worldwide, non-exclusive, royalty-free licence to use that content for the purposes of Academy operations, archiving and public display.
AAE does not guarantee the accuracy of user-submitted content but reserves the right to remove, without prior notice, any content that breaches these Terms.
7. Accuracy of Information; Disclaimer
AAE uses reasonable efforts to keep information on the Website accurate and up to date. However, the Website is provided on an “as is” and “as available” basis. AAE does not warrant that:
- the content is error-free, complete or current;
- the Website is free of viruses or other harmful components;
- the Website will be available at all times or on all devices.
Information on the Website, including Fellow listings, event schedules, contact details and programme updates, is subject to change without notice. AAE makes no guarantee that all information remains current at all times.
You rely on information from the Website at your own risk. AAE accepts no liability for any direct or indirect loss arising from your use of, or inability to use, the Website, or from your reliance on its content.
8. Third-Party Links
The Website may contain links to third-party websites or services. These links are provided for convenience only and do not constitute an endorsement by AAE of the content, privacy practices or products of those third parties.
When you access third-party websites, you do so subject to their own terms and privacy policies. AAE accepts no liability for any loss or damage arising from your use of third-party websites.
9. Limitation of Liability
To the fullest extent permitted by applicable law, AAE, its Council, Fellows, staff, volunteers and partners shall not be liable for any direct, indirect, incidental, special or consequential damages (including but not limited to lost profits, data loss or business interruption) arising from:
- your use of or inability to use the Website;
- third-party conduct, server downtime, network failure, unauthorised access or force majeure;
- any errors, inaccuracies or omissions in Website content;
- any user-submitted content or material transmitted by third parties through the Website.
Where applicable law does not allow the exclusion of certain liabilities, these limitations shall apply to the maximum extent permitted by law and shall not affect mandatory statutory rights.
10. Notices
AAE may send notices relating to your use of the Website by:
- posting a prominent notice on the Website; or
- emailing the address you provided during registration or event booking.
Notices are deemed effectively delivered upon publication on the Website or upon sending of the email. You are responsible for keeping your contact details up to date.
11. Governing Law and Dispute Resolution
The Website is registered in Kenya, and these Terms are governed by the laws of Kenya.
Any dispute arising from these Terms or your use of the Website shall first be resolved through good-faith consultation. If consultation fails, the dispute shall be submitted to the competent courts of Nairobi, Kenya.
AAE makes no representation that the Website complies with the laws of any jurisdiction outside Kenya. If you access the Website from outside Kenya, you are responsible for compliance with applicable local law.
12. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy and Cookie Policy on the Website, constitute the entire agreement between you and AAE regarding your use of the Website and supersede any prior oral or written understanding.
- Severability: If any provision of these Terms is held to be invalid or unenforceable by a competent authority, that provision shall be modified or removed to the minimum extent necessary, and the remaining provisions shall continue in full force.
- No waiver: AAE’s failure or delay to exercise any right under these Terms shall not constitute a waiver of that right, nor shall any waiver of any breach constitute a waiver of any subsequent breach.
- Assignment: AAE may assign its rights and obligations under these Terms in the event of a merger, reorganisation or asset transfer, provided the assignee remains bound by these Terms. You may not assign any rights or obligations under these Terms without the prior written consent of AAE.
